These Terms of Service ("Terms") govern your access to and use of the TracefyHR platform ("Service") provided by TracefyHR ("we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Service Description
TracefyHR is a cloud-based human resource management platform that provides tools for employee management, payroll processing, leave management, attendance tracking, analytics, and AI-powered custom feature building (Forge AI). We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Provide accurate and complete registration information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access to your account
- Not share your account credentials with unauthorized parties
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to other accounts or systems
- Interfere with the proper operation of the Service or its infrastructure
- Use the Service for any purpose other than legitimate HR management activities
- Reverse engineer, decompile, or disassemble any part of the Service
5. Payment Terms
Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to:
- Pay all fees associated with your selected plan at the posted rates
- Provide valid and current payment information
- Authorize us to charge your payment method on a recurring basis
Fees are non-refundable except as required by law or as specifically stated in our refund policy. We may change our pricing with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
6. Intellectual Property
The Service, including its design, features, code, and content, is owned by TracefyHR and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of all data you enter into the platform. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.
7. Data Privacy
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining any necessary consents from employees whose data you enter into the platform.
8. Limitation of Liability
To the maximum extent permitted by law, TracefyHR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
9. Termination
Either party may terminate these Terms at any time. You may terminate by deleting your account. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. Upon termination:
- Your right to access the Service will immediately cease
- We will retain your data for 30 days to allow you to export it, after which it will be permanently deleted
- Any outstanding fees owed at the time of termination remain payable
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TracefyHR is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration, except where prohibited by law.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the platform at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
